Terms of Service

These Terms of Service ("Terms") govern your access to and use of leeglycontracts.com (the "Site"), operated by Leegly LLC, doing business as "Leegly Contracts" ("Leegly," "we," "us," or "our"). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

The Site serves two audiences: companies seeking contracts support ("Clients") and contracts professionals applying to join our network ("Leegly Pros"). These Terms apply to everyone who uses the Site. The audience-specific sections below apply to you according to which one describes you.


1. Who We Are; No Legal Advice; No Attorney-Client Relationship

Leegly provides fractional contracts management support to businesses and operates a network of independent contracts professionals. Leegly is not a law firm, and we do not provide legal advice. Nothing on the Site, and no communication you have with us through the Site, creates an attorney-client relationship or constitutes legal advice.

Information on the Site is provided for general informational purposes only. You should not act, or refrain from acting, on the basis of Site content without seeking advice from a licensed attorney qualified in the relevant jurisdiction.


2. If You Are a Client

If you contact us to obtain contracts support, you do so as a business. Any services Leegly provides are governed by a separate written services agreement or statement of work between you and Leegly, which controls scope, fees, confidentiality, ownership of work product, and liability for the services. Submitting an inquiry through the Site does not create a services relationship or obligate either party until a separate agreement is signed. As stated above, Leegly is not a law firm and does not provide legal advice.


3. If You Are a Leegly Pro (Contracts Professional)

If you apply to join the Leegly network, the following apply:

4. Eligibility

The Site is intended for businesses and professionals and for individuals who are at least 18 years old and able to form a binding contract. By using the Site, you represent that you meet these requirements and that you are using the Site for business or professional, not personal, purposes.


5. Use of the Site

You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

We may suspend or terminate your access to the Site at any time, with or without notice, if we believe you have violated these Terms.


6. Intellectual Property

The Site and its contents — including text, graphics, logos, the "Leegly," "Leegly Contracts," and "Leegly Pros" names and marks, designs, and the arrangement of all of the foregoing — are owned by or licensed to Leegly and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your internal business or professional evaluation purposes. You may not copy, reproduce, distribute, modify, create derivative works from, or commercially exploit any part of the Site without our prior written permission. All rights not expressly granted are reserved.


7. Submissions

If you submit information, ideas, feedback, or other materials to us through the Site — including a Client inquiry or a Leegly Pro application and any resume or work samples — you grant us a non-exclusive, royalty-free, worldwide license to use that material to respond to you, to evaluate and match professionals and engagements, and to operate and improve our business. Do not submit confidential information you do not wish us to receive through the Site. Information you submit is also subject to our Privacy Policy.


8. Third-Party Links

The Site may contain links to third-party websites or resources. We provide these links for convenience only and do not endorse and are not responsible for the content, products, or practices of any third party. Your use of third-party websites is at your own risk and subject to their terms.


9. Disclaimers

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY INFORMATION ON THE SITE IS ACCURATE, COMPLETE, OR CURRENT.


10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, LEEGLY AND ITS OWNERS, MEMBERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SITE. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you. (Liability relating to Leegly's services or your participation in the network is governed by the applicable separate agreement, not these Terms.)


11. Indemnification

You agree to indemnify and hold harmless Leegly and its owners, members, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Site or your violation of these Terms.


12. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to the Site or these Terms will be brought exclusively in the state or federal courts located in Delaware, and you consent to their personal jurisdiction and venue there.


13. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Site after changes take effect means you accept the revised Terms.


14. General

These Terms, together with the Privacy Policy, are the entire agreement between you and Leegly regarding the Site. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a sale or reorganization of our business.
